1. Agreement to Terms

By accessing or using the services provided by Signal Foundry Labs Inc. ("Company," "we," "our," or "us"), including our website (signalfoundry.ai), products (such as Contextable), and consulting services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Description of Services

Signal Foundry Labs Inc. provides:

• Software Products: AI-powered tools and applications, including Contextable and other products we may develop.
• Consulting Services: Custom AI development, strategy, and implementation services for enterprise clients.
• Client Portal: A platform for managing project documentation, communications, and payments.

3. Account Registration

To access certain features of our services, you may be required to create an account. You agree to:

• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Promptly update your information if it changes
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access

4. Acceptable Use

You agree not to use our services to:

• Violate any applicable laws or regulations
• Infringe upon the rights of others
• Transmit harmful code, viruses, or malware
• Attempt to gain unauthorized access to our systems

5. Intellectual Property

Our Property: All content, software, and materials provided through our services, including but not limited to text, graphics, logos, and code, are owned by Signal Foundry Labs, Inc. or our licensors and are protected by intellectual property laws.

Your Content: You retain ownership of any content you submit through our services. By submitting content, you grant us a license to use, store, and process it as necessary to provide our services.

Consulting Deliverables: Unless otherwise agreed in writing, deliverables created during consulting engagements become your property upon full payment. We retain the right to use general knowledge and techniques gained during engagements.

6. Payment Terms

For paid services:

• Fees are as quoted or as stated in your service agreement
• Payment is due according to the terms specified in your invoice or agreement
• We accept payment via credit card and bank transfer through our client portal
• All fees are non-refundable unless otherwise specified
• We reserve the right to suspend services for non-payment

7. Confidentiality

We treat all client information as confidential. For consulting engagements, specific confidentiality terms will be outlined in your service agreement. We will not disclose your confidential information to third parties except as required by law or with your consent.

8. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIGNAL FOUNDRY LABS, INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY. OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF OUR SERVICES SHALL NOT EXCEED THE AMOUNTS YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify and hold harmless Signal Foundry Labs Inc., its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of our services or violation of these terms.

11. Termination

We may suspend or terminate your access to our services at any time for violation of these terms or for any other reason at our discretion. Upon termination, your right to use our services will immediately cease. Provisions that by their nature should survive termination will remain in effect.

12. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law provisions. Any disputes arising from these terms shall be resolved in the courts of Ontario, Canada.

13. Changes to Terms

We reserve the right to modify these terms at any time. We will notify you of material changes by posting the updated terms on our website and updating the "Last updated" date. Your continued use of our services after changes take effect constitutes acceptance of the revised terms.
